Standfirst: EQT Corporation announced on Monday, October 26, 2026, that it will acquire Range Resources in an all-stock deal, creating what the companies call America’s largest and only vertically integrated natural gas producer, with a combined value of more than $50 billion. Range shareholders will receive 0.987 shares of EQT stock for each Range share they own, and the deal is expected to close in the first quarter of 2027 if regulators and shareholders approve it. Here is what the deal includes, why the companies say they are doing it, and what still has to happen before it closes.
What we know
Deal announced: EQT and Range Resources have signed a definitive merger agreement, announced on Monday, October 26, 2026. EQT will acquire Range in an all-stock transaction.
Exchange ratio: Each outstanding share of Range common stock will be exchanged for 0.987 shares of EQT common stock, according to the companies’ joint announcement.
Combined value: The combined company will have a pro forma enterprise value of more than $50 billion, the companies said.
Ownership split: EQT’s existing shareholders are expected to own about 73% of the combined company, and Range’s shareholders about 27%.
Scale: The combined company will produce more than 9 billion cubic feet of natural gas equivalent per day, control nearly 3 million net acres in the Appalachian Basin, and own more than 3,700 miles of midstream infrastructure, the companies said.
Expected close: The deal is expected to close during the first quarter of 2027, subject to regulatory approvals and shareholder approvals from both companies.
Implied price: Reuters reported that the implied offer price of $54.91 per Range share is about 20.6% above Range’s last closing price on Friday, with the equity portion valued at about $12.83 billion by Reuters’ calculation.
What we don’t know
Regulatory decision: Whether regulators will approve the deal as proposed, ask for changes, or block parts of it. No regulatory decision has been announced.
Shareholder votes: How shareholders of each company will vote. Both groups must approve the deal, and no vote date has been announced yet.
Promised savings: Whether the promised cost savings will actually arrive. The $325 million in base annual savings is a company projection for within two years, not a result that has happened yet.
Household bills: How the deal will affect natural gas prices for households. The companies have not said the merger will lower or raise consumer energy bills, and prices depend on many other factors, including weather, demand, and pipeline capacity.

What was announced
EQT and Range Resources said on Monday morning that their boards had both unanimously approved a definitive merger agreement. In plain terms, that means the two companies have signed a binding deal, but it is not finished yet. It still needs approval from government regulators and from the shareholders of both companies before it can close.
The deal is all-stock. Range shareholders will not receive cash. Instead, each Range share will be swapped for 0.987 shares of EQT stock. When the deal closes, today’s EQT shareholders will own about 73% of the combined company, and today’s Range shareholders about 27%. The companies describe the combined business as America’s largest and only vertically integrated natural gas producer — meaning it both produces gas and owns much of the pipeline and marketing system that moves it to buyers.
EQT President and CEO Toby Z. Rice said the deal “brings together two of the highest-quality, longest-duration asset bases in North America” and creates a company positioned for “the next era of natural gas.” Range President and CEO Dennis Degner said his board “unanimously determined that this transaction will enhance Range shareholders’ ability to participate in a constructive long-term natural gas and NGL macro outlook.” NGL stands for natural gas liquids, such as ethane and propane, which are produced alongside natural gas.
Why the companies say they are doing it
The companies gave three main reasons for the deal: size, cost and savings, and demand.
First, size. Together, the companies will produce more than 9 billion cubic feet of natural gas equivalent per day across nearly 3 million net acres, mostly in the Appalachian Basin. That basin, which covers parts of Pennsylvania, Ohio, and West Virginia, is the largest natural gas producing region in the United States. The combined company will also own more than 3,700 miles of pipelines and related midstream equipment, plus what the companies call the largest natural gas marketing platform in the country.
Second, cost and savings. EQT said the deal will push its break-even price for free cash flow below $2 per million British thermal units (MMBtu), a standard unit for pricing natural gas — in simple terms, it says it can make money even when gas prices are low. The companies also expect $325 million in base annual savings within two years, from combining corporate offices, field operations, and gas marketing, with a pathway to more than $600 million a year over time from faster site development and better marketing of natural gas, liquefied natural gas (LNG), and natural gas liquids.
Third, demand. Reuters reported that growing demand for natural gas from data centers has improved the outlook for US gas producers. Data centers, which power artificial intelligence and cloud computing, use large amounts of electricity, and natural gas is one of the fuels used to generate that power. The companies say the combined business will be a “partner of choice” for large buyers that want long-term, reliable gas supply.
What it means for the gas market
If the deal closes, the US natural gas industry will have one fewer large independent producer and one much larger one. That matters because the Appalachian Basin already supplies a large share of America’s natural gas, and bigger producers can often drill more cheaply and sign longer supply contracts.
For investors, the market reaction on Monday morning was split. Reuters reported that EQT shares were down 4.6% in premarket trading, while Range shares were up 10.1%. That pattern is common in acquisitions: the buyer often dips because it is taking on a big deal, while the company being bought rises toward the offer price. This article does not offer investment advice, and share prices will keep moving as regulators, shareholders, and analysts weigh in.
For households, the deal does not directly change anyone’s gas bill. Retail gas and electricity prices depend on local utilities, state regulators, pipeline capacity, weather, and global energy markets, not just on which company owns a gas field. What happens next
Several steps must happen before the deal closes. Regulatory review: Federal regulators will review the merger for competition concerns. The companies have not said how long that review will take. Shareholder votes: Shareholders of both EQT and Range must approve the deal. No vote dates have been announced. Closing conditions: The companies must satisfy the other standard conditions in their merger agreement. Third-quarter results: Both companies will still report third-quarter 2026 results after the market closes on Tuesday, October 27, 2026. Their planned earnings calls on Wednesday, October 28, were canceled because of the merger announcement, and the companies held a joint call on Monday morning, October 26, at 8:00 AM ET to discuss the deal.
If everything is approved, the companies expect the deal to close in the first quarter of 2027. If regulators or shareholders block it, the deal could be changed or abandoned. The companies’ announcement includes a long caution that their projections about savings, cash flow, and closing timing are forward-looking statements, not guarantees.
Background: two Appalachian gas producers
EQT describes itself as a premier, vertically integrated American natural gas company focused on the Appalachian Basin. Range describes itself as a leading US independent natural gas and natural gas liquids producer, also focused on the Appalachian Basin and headquartered in Fort Worth, Texas.
Both companies have spent years drilling in the Marcellus and Utica shale formations, the rock layers that made Appalachia the center of US gas production. The merger combines two of the largest positions in that region into a single company with, the companies say, more than 30 years of drilling inventory. The deal also fits a wider pattern in American energy: producers combining to cut costs and gain scale as demand grows from power generation, industry, and LNG exports.
